TERMS AND CONDITIONS Below are listed the Terms and Conditions relating to the use of the smoothdevil.com website ("the site"). Using the smoothdevil.com website in any way constitutes your acceptance of these Terms and Conditions. smoothdevil.com has the right to change or amend these Terms and Conditions without further notice. If you do not agree to the Terms and Conditions set out below, including those listed in the Privacy Policy, please do not use the website. OUR LIABILITY You agree that we will not be liable for any loss or damage you incur (including but not limited to loss of profit, loss of business, loss of revenue, or any other incidental or consequential loss or damage) whether indirectly or directly caused by smoothdevil.com or by the use of the site. CANCELLATION You may cancel your membership/subscription at any time by emailing support@smoothdevil.com requesting to cancel your membership/subscription. TERMINATION We may terminate your membership/subscription if you breach any of these terms and conditions or deliberately seek to circumvent any payment or security measures deployed on the site, or we deem it appropriate. In the event that your membership is terminated by us based on your conduct then any subscription or membership fees may be forfeit. Termination based on misuse of the site or breach of these Terms and Conditions will be at the sole discretion of smoothdevil.com. RESTRICTED CONTENT You agree that smoothdevil.com is a site aimed at users over the age of 18 years of age. You agree that smoothdevil.com has no control of the content linked to from within user profiles and therefore is not liable for the content of profile pages. Use the site at your own risk, and ensure that minors are accompanied by an adult when using smoothdevil.com. PRICING & PRICE CHANGES smoothdevil.com is free for a limited time. We reserve the right to introduce charges at any time without prior notice. PROVISION & LOSS OF SERVICE smoothdevil.com endeavours to keep our service online and functioning correctly. However we reserve the right to disable the site without prior notice if needed to perform maintenance on the site. We accept no liability or responsibility for losses you incur whilst our site is unavailable. You agree that you use this site at your own risk. JURISDICTION You agree that smoothdevil.com is owned and operated by HD² Media, based in New Zealand. Any dispute arising through the use of this site or relating to these Terms and Conditions will be presented before a court in New Zealand and be subject to New Zealand law. SECURITY smoothdevil.com takes your security seriously, and has implemented a password scheme to protect your profile content. It is your responsibility to protect your password, and in the event that you are concerned about the security of your password, you should change it. You agree to indemnify smoothdevil.com against any claims or liability relating to a security breach of smoothdevil.com. YOUR PROFILE By uploading your profile, name, images, and/or contact details, you agree that you are deciding at your own risk to make this information available on the internet. smoothdevil.com accepts no responsibility or liability arising from use or misuse of your personal information that can be freely viewed by Internet users. PERSONAL MESSAGING "MY MESSENGER" By using the personal messaging system "my messenger" on smoothdevil.com, you agree to refrain from posting messages with content that could be considered to be harmful, threatening, defamatory, abusive, inflammatory, obscene, fraudulent, hateful, or racially, ethnically or otherwise objectionable. Use of smoothdevil.com to spam members or recruit members for external websites is not permitted. Members who violate these terms are subject to have their membership terminated without notice. We want our users to enjoy being part of this community and we take this seriously. REFERRAL SYSTEM "TELL A FRIEND" 1. For each successful signup as a direct result of a referral, the member who made the referral will receive a one month extension to their smoothdevil membership for free. 2. A successful signup is defined as "someone who signs up and becomes an activated member of smoothdevil as a direct result of receiving a referral invitation". 3. A "referral" refers to a referral made using the smoothdevil "tell a friend" system. Whilst we appreciate email and word of mouth referrals, unfortunately they are not eligible to be counted towards free membership extensions. 4. For each and every referral resulting in a signup (as per the definitions outlined above), the referrer will recieve a free one month extension on their smoothdevil membership. So tell your friends, make sure they signup and activate their membership, and continue to enjoy the benefits of being a smoothdevil member. ADVERTISING Use of the advertising system on smoothdevil.com consititutes acceptance of these Terms and Conditions: 1. Content Advertisments ("ads") must conform to the following guidelines or they will not be approved for display on smoothdevil. 1.1. Ads must not contain text or images which could be considered vulgar, sexually explicit, racist, hateful, prejudicial, or defamatory, or otherwise 'offensive' by visitors to the site. 1.2. Ads must not contain copyrighted material (unless use is authorised by the copyright holder). 1.3. Ads must not contain links or references to sites, forums, or communities which could be considered as competitors of smoothdevil. 1.4. In the event that an ad is not approved for display by the smoothdevil team, the ad may be edited and resubmitted at no further charge, as many times as required. 2. Liabilities 2.1. smoothdevil accepts no liability for loss of service, loss of access, any losses (including financial) that may be incurred directly or indirectly through use of the smoothdevil advertising system. 2.2. We strive to provide a seamless web experience for our users, but cannot he held liable for any server outages or other technical issues which prevent users seeing your ads, or your access to your bids. In the event that we encounter technical difficulties, we will endeavour to rectify the issue as soon as we can, so that normal service is restored. 3. Payments and Refunds 3.1 smoothdevil ad payments are strictly non-refundable. 3.2. We reserve the right to amend the minimum bid for any type of ad campaign at any time. 3.3. Paypal is a trustworthy supplier of online financial transactions systems, but we take no responsibilty for your account security at Paypal, and you acknowledge that you use Paypal at your own risk, and based on the Terms and Conditions of Paypal. We accept no liability for any losses you incur through using the Paypal system. 3.4. In the event that your account is disabled through misuse of the site (including but not limited to spam, hacking, inappropriate messaging, display of offensive or copyright material) please be aware that any unused ad budget you may have will not be refunded. 3.5. Once payment has been made, you are free to pause your ad campaigns as required. There is no time limit on ad campaigns. YOUR EMAIL ADDRESS & SPAM smoothdevil.com will use your email address as a form of confirmation during the registration process. We will also periodically send you informative e-mails on new features, jobs or work advertisements however if you wish to unsubscribe from this email service then you can easily do so. Under no circumstances will we share your email address with any third parties. We respect your privacy. COPYRIGHT & INTELLECTUAL PROPERTY RIGHTS All content and materials contained on the smoothdevil.com site (also herein referred to as "smoothdevil", "we", "our", "the site") are protected under copyright and intellectual property rights laws of New Zealand and under similar international legislation. You may not copy, reproduce, print, distribute or publish the smoothdevil.com name or logo or any other content of the site without the express written permission of smoothdevil.com. smoothdevil.com owns and retains all intellectual property and proprietary rights to all materials in our website, excluding media uploaded by its members, who retain the intellectual property and proprietary rights to their own works. YOUR PRIVACY Your privacy is important to us at smoothdevil.com, and while we will be collecting personal information about you through the registration process and the profile building service of this website it is the commitment from our team, to you, that we will not sell or allow third parties to access your personal information without your consent. By registering with smoothdevil.com you agree that we may use this information to assist us with providing you services, for our own research and that we may disclose your information to the relevant authorities if the need should arise.
